These Terms of Service (“Terms”) are a binding agreement between you and Zoolots LLC, a Florida limited liability company located at 5107 University Blvd West, Jacksonville, FL 32216. ZooLots(“ZooLots,” “we,” “us,” or “our”) is the brand and trade name under which Zoolots LLC operates its online auction marketplace. They govern your access to and use of the ZooLots websites, mobile apps, and auction services (together, the “Services”). By creating an account, placing a bid, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and able to form a binding contract to use the Services. One account per person. You agree to provide accurate, current information (including your legal name, email, mobile phone number, and ZIP code) and to keep it up to date.
You are responsible for everything that happens under your account and for keeping your password secure. Bids placed from your account are your responsibility, whether or not you authorized each one. Notify us immediately at hello@zoolots.com if you believe your account has been compromised. We may suspend, limit, or close any account at our discretion, including for violation of these Terms.
Each lot is sold “AS-IS, WHERE-IS” with all faults, based on the description, condition grade, and photos in the listing. We describe lots in good faith, but customer returns, pallets, and mystery boxes are inherently variable: quantities, contents, and working condition may differ from what you expect, and estimates of value are opinions, not guarantees.
Cosmetic flaws, missing packaging, and the ordinary characteristics of returned or liquidation merchandise are not defects. Some lots may have a hidden minimum price (a “reserve”); if bidding does not meet the reserve, the lot may go unsold. We may correct listing errors, cancel a lot, or relist an item at any time before a sale is final.
Every bid is a binding, irrevocable offer to buythe lot at the bid amount, and you may not retract it. If you are the highest bidder when the auction closes, you have entered a binding contract to purchase the lot for your winning bid plus any applicable buyer's premium, fees, and tax.
When you place a maximum (proxy) bid, our system bids on your behalf up to your maximum, one increment at a time, only as needed to keep you in the lead. Standard minimum increments are: $1 (under $25), $5 (under $100), $10 (under $500), and $25 ($500 and up).
Anti-snipe extension: if a bid is placed in the final minute of an auction, we extend the closing time by 60 seconds so everyone has a fair chance to respond. We may reject bids, void a sale, or reopen bidding if we detect error, fraud, manipulation, or a system malfunction.
The total you owe on a winning lot is the hammer price plus any buyer's premium or service fee shown at checkout, plus applicable Florida and local sales tax. All amounts are in U.S. dollars. Taxes are calculated based on the pickup location and applicable law, and we do not collect tax on validly tax-exempt purchases where you have provided acceptable documentation in advance.
Payments are processed by Stripe. We accept card, Apple Pay, and Google Pay. ZooLots never sees or stores your full card number. By paying, you authorize us (through Stripe) to charge your selected payment method for the full amount due, and you agree to Stripe's terms as the payment processor.
You must pay within 24 hours of an auction closing. If we do not receive payment, we may cancel the order, charge any payment method on file, release the items, suspend or close your account, and bar you from future bidding. Repeated non-payment may result in a permanent ban. Chargebacks filed in bad faith on valid purchases are a breach of these Terms.
Title and risk of loss pass to you when you pay in full. You pick up won lots in person at the ZooLots warehouse during the appointment window you book. Bring a valid government-issued photo ID and your order code or QR code.
Lots not picked up within 7 days of payment (or by the deadline stated in your order, whichever is later) may be treated as abandoned, forfeited without refund, and relisted, and we may charge reasonable storage fees. Where we offer shipping, it is at your cost and risk and subject to separate terms presented at checkout.
We accept returns within 7 days of pickup only if an item is materially different from how the listing described it. Cosmetic flaws and conditions disclosed in the listing are not grounds for return, and mystery boxes and pallets are sold as-is and are generally non-returnable. Violations may result in voided sales, forfeiture, suspension, or a permanent ban without refund.
When you provide your mobile number and create an account, you consent to receive account and transaction text messages from ZooLots at that number, sent via our messaging provider Twilio. This is an account-notification program, not a marketing program. Messages relate to your activity, such as: you won a lot, your pickup is ready, a pickup-appointment reminder, your payment failed, or your invoice expired.
We do not send marketing or promotional text messages under this program, and we never sell or share your mobile number or SMS consent with third parties or affiliates for their marketing. See the SMS section of our Privacy Policy for how we handle this data.
The Services, including our name, logo, text, graphics, and software, are owned by Zoolots LLC or our licensors and are protected by law. We grant you a limited, personal, non-transferable license to use the Services to browse and bid. You may not copy, scrape, resell, or create derivative works from the Services without our written permission.
The Services and all lots are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any lot will meet your expectations.
To the fullest extent permitted by law, ZooLots and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or relating to the Services or any lot. Our total liability for any claim is limited to the greater of (a) the amount you paid to ZooLots for the lot giving rise to the claim, or (b) $100. Some jurisdictions do not allow these limits, so they may not fully apply to you.
You agree to indemnify and hold harmless ZooLots from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your bids or purchases, your violation of these Terms, or your violation of any law or the rights of a third party.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, indemnification, and arbitration) will survive.
We may update these Terms from time to time. When we do, we will revise the “Effective” date above and, for material changes, provide reasonable notice. Your continued use of the Services after changes take effect means you accept the updated Terms.
Please read this section carefully — it affects your legal rights. You and ZooLots agree to first try to resolve any dispute informally by contacting hello@zoolots.com and allowing 30 days to resolve it.
If we cannot resolve it, you and ZooLots agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will take place in Duval County, Florida, or by video/telephone where available.
Class-action waiver: disputes will be arbitrated only on an individual basis. You and ZooLots waive any right to a jury trial and to bring or participate in a class, collective, or representative action. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. For any matter not subject to arbitration, the exclusive venue is the state and federal courts located in Duval County, Florida, and you consent to their personal jurisdiction.
By creating an account you consent to receive communications and records from us electronically — including these Terms, the Privacy Policy, receipts, invoices, notices, and disclosures — by email, in the app, or (where you have opted in) by text message, and you agree that electronic delivery satisfies any legal requirement that such communications be in writing. You may withdraw consent to electronic communications by closing your account, though some records must remain electronic to use the Services. Your acceptance of these Terms, and any consent you give through a checkbox or by clicking “I agree,” constitutes your electronic signature under the federal E-SIGN Act and applicable Florida law.
Entire agreement. These Terms, together with the Privacy Policy and any policies referenced here (such as our returns process and SMS terms), are the entire agreement between you and ZooLots and supersede any prior agreements on the same subject.
Severability & waiver. If any provision is held unenforceable, the rest remain in effect, and the unenforceable provision will be modified to the minimum extent needed to make it enforceable. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, severe weather, outages, labor disputes, carrier or supplier failures, or government action.
No third-party beneficiaries; headings. These Terms create no rights in anyone other than you and ZooLots. Section headings are for convenience only and do not affect interpretation.
